UNIVFILMS GENERAL TERMS AND CONDITIONS OF USE

These General Terms and Conditions of Use (the “Terms”) govern access to and use of the website, apps, streaming platform and other digital services provided by UNIVFILMS PRODUÇÕES E ENTRETENIMENTO LTDA., a private legal entity registered with the Brazilian National Register of Legal Entities (CNPJ) under no. 43.390.733/0001-92, with its registered office at Avenida Rio Madeira, 380, Vieiralves, Nossa Senhora das Graças, CEP 69053-030, Manaus/AM, Brazil (“UnivFilms”).

By creating an account, purchasing a subscription, or accessing or using the Platform, the user confirms that they have read, understood and agree to these Terms and to the UnivFilms Privacy Policy.

If the user does not agree with these Terms, they must not create an account, purchase a subscription or use the Platform.

For the purposes of these Terms:

1. Platform: the website, apps and other digital environments operated or provided by UnivFilms.

2. Service: access to the content and features offered by UnivFilms, free of charge or by subscription.

3. User: any person who accesses or uses the Platform, even without an active subscription.

4. Subscriber: a user who purchases a UnivFilms paid plan.

5. Account Holder: the person responsible for the registration, the purchase and the payment method linked to the account.

6. Content: films, series, documentaries, short films, animations, trailers, images, texts and other materials available on the Platform.

7. Plan: the access option purchased by the Subscriber, with the price, duration, benefits, limits and conditions disclosed before the purchase is confirmed.

8. Billing Cycle: the period corresponding to the purchased option, such as monthly or annual.

2.1. UnivFilms provides a digital service for accessing audiovisual content streamed over the internet, including video on demand, as well as features related to the catalog and the user experience.

2.2. Access may be free, promotional or paid, depending on the option available at any given time.

2.3. Content, features, plans and forms of access may vary by country, territory, device, age rating, licensing rights and applicable commercial terms.

2.4. Purchasing a subscription grants the user a limited, personal, temporary, revocable, non-exclusive and non-transferable license, solely for private and non-commercial use of the Platform.

2.5. A subscription does not transfer to the user any ownership rights in the Platform or in the content made available.

2.6. Certain Plans, free options or content may include advertising, such as ads shown before, during or after playback, channels with linear programming, or sponsored messages. Whether advertising is included, and its characteristics, will be clearly disclosed in the Plan or access option offer before the user signs up.

2.7. Advertising shown on the Platform will be identified as such and will comply with applicable law, age ratings and the rules protecting children and adolescents.

3.1. To purchase a subscription, the user must have the legal capacity to enter into contracts. Minors under 18 may use the Platform only with the authorization and supervision of their parents or legal guardians, in accordance with the age ratings of the content.

3.2. The user must provide true, complete and up-to-date information and is responsible for keeping it accurate while using the Service.

3.3. The user may not use third-party data without authorization, create an account under a false identity, withhold relevant information, or use the Platform for fraudulent or unlawful purposes.

3.4. These Terms may be accepted electronically, including by ticking an acceptance box, clicking a purchase button, creating an account or actually using the Service, as permitted by applicable law.

4.1. UnivFilms may offer different Plans, including monthly, annual, free, promotional or audience-specific options.

4.2. Before purchase, the total price, billing frequency, benefits, limits, duration, renewal terms and cancellation methods applicable to the chosen Plan will be clearly presented.

4.3. The prices and conditions in effect at the time of purchase are those shown on the offer page and in the order summary.

4.4. UnivFilms may create, modify or discontinue Plans for new purchases. Changes affecting existing subscriptions will be communicated in advance, in accordance with the law, the purchased cycle and the consumer’s right to cancel.

4.5. Promotional benefits may be subject to time limits, eligibility, territorial availability and specific conditions, disclosed before sign-up.

4.6. Plan prices are set and charged in Brazilian reais (R$). When payment is made with a credit card issued outside Brazil or in a different currency, the user’s financial institution or card issuer may apply currency conversion, fees or its own taxes, such as the IOF (Brazilian tax on financial transactions), which are neither charged nor controlled by UnivFilms.

5.1. Paid Plans renew automatically: the subscription will renew at the end of each Billing Cycle until it is cancelled by the Subscriber or terminated by UnivFilms under these Terms.

5.2. By purchasing a Plan with automatic renewal, the Subscriber authorizes recurring charges of the stated amount to the chosen payment method.

5.3. The billing date will be disclosed at the time of purchase and may be slightly adjusted due to factors such as days that do not exist in certain months, bank processing, Plan changes or payment regularization.

5.4. Legally applicable taxes and charges may be included in the final price, as indicated at the time of purchase.

5.5. Proof of purchase and the essential Plan information will be made available to the user electronically.

5.6. For annual Plans or Plans with a Billing Cycle longer than one month, UnivFilms will send the Subscriber, reasonably in advance of the renewal date, a notice by email or other suitable means stating the date and amount of the next charge and how to cancel the renewal.

6.1. Accepted payment methods will be shown on the Platform. Payments are currently made by credit card and processed by Stripe, a specialized payment provider that may have its own terms and policies. New payment methods may be made available and will be announced on the Platform.

6.2. The Account Holder is responsible for keeping payment details valid and up to date.

6.3. If a charge is not authorized, UnivFilms may retry processing, request an updated payment method, temporarily limit access or suspend the subscription, notifying the user whenever possible.

6.4. UnivFilms will not have access to the full card number when processing is carried out directly by a payment provider, except where technically necessary and permitted by law.

6.5. Amounts actually owed before cancellation or suspension remain payable, except in the legal cases of dispute, chargeback or refund.

7.1. UnivFilms may change Plan prices by giving the Subscriber clear prior notice.

7.2. The change will take effect from the next cycle indicated in the notice, in accordance with applicable law.

7.3. If the Subscriber does not agree with the new price, they may cancel the renewal before the next charge and keep access until the end of the period already paid, unless the law or a specific offer provides more favorable terms.

8.1. For purchases made online, the consumer may exercise the right of withdrawal within the legal period of 7 (seven) days from the purchase, under the Brazilian Consumer Protection Code. In that case, the amounts paid will be refunded in accordance with applicable law.

8.2. Requests for withdrawal or cancellation may be made through the same means used for the purchase, directly in the account area, or through the support channels listed on the Platform, in a simple manner and without disproportionate requirements. UnivFilms will immediately send confirmation that the request has been received.

8.3. After the legal withdrawal period, the Subscriber may cancel the renewal at any time. Except where required by law, in the case of a failure attributable to UnivFilms or under a specific commercial condition, the cancellation will take effect at the end of the period already paid, with no further charges.

8.4. After the renewal is cancelled, access will remain active until the end of the current Billing Cycle, except in the case of a full refund, a legal requirement, a payment dispute or termination for breach of these Terms.

8.5. Partially used periods will not be refunded on a pro rata basis, except as provided by law, by these Terms or by a specific offer.

8.6. In the case of an undue charge, significant unavailability attributable to UnivFilms or failure to honor an offer, the consumer may request a review and, where appropriate, a correction, credit, discount or refund, without prejudice to their legal rights.

8.7. Closing an account does not extinguish obligations already due, nor does it prevent the minimum data processing necessary to comply with legal or regulatory obligations or to exercise rights.

9.1. UnivFilms may offer free trials, coupons, promotional subscriptions or benefits subject to their own rules, time limits and eligibility criteria.

9.2. Before any charge begins after a free period, the user will be informed of the price, the billing frequency and the applicable renewal terms.

9.3. Promotions may not be exchanged for cash, transferred, resold or combined, unless expressly authorized.

9.4. UnivFilms may prevent abusive, duplicate or fraudulent use of promotions, using objective criteria and without affecting rights guaranteed by law.

10.1. The Account Holder is responsible for keeping their credentials confidential and for the activities carried out in their account, except for fraud or security failures not attributable to them.

10.2. The user must not share passwords beyond what the Plan allows or permit commercial, public or unauthorized use of the account.

10.3. The user must immediately report any unauthorized access, loss of credentials or suspected fraud.

10.4. UnivFilms may use authentication, device recognition and fraud prevention mechanisms, in accordance with the Privacy Policy.

10.5. For security reasons, UnivFilms may request identity confirmation, end sessions, reset credentials or preventively suspend access. Whenever possible and legally appropriate, the user will be informed and will have access to a channel to dispute the measure.

11.1. The number of devices, simultaneous streams, profiles and features available depends on the purchased Plan and will be disclosed in the offer.

11.2. The account is intended for the personal use of the Account Holder and the persons authorized under the Plan rules. Selling, assigning, renting or commercially exploiting access is prohibited.

11.3. UnivFilms may apply reasonable measures to verify compliance with Plan limits, protect licensing rights and prevent fraud.

12.1. The catalog may vary and change over time due to licensing agreements, territory, legislation, editorial strategy or technical availability.

12.2. The presence of a title on the Platform does not guarantee its permanent availability.

12.3. Certain content may be available only in specific countries, regions, languages, periods, Plans or devices.

12.4. UnivFilms may add, remove, replace or restrict content, in compliance with specific offers and consumer rights.

12.5. Information such as synopses, genres, age ratings, cast and year of production may be provided by the rights holders of the works or by partners. UnivFilms will seek to correct any errors once notified.

13.1. Use of the Platform requires a compatible device, up-to-date software and an adequate internet connection, the costs of which are borne by the user.

13.2. Streaming quality may vary depending on connection speed and stability, device capability, location, network congestion, content format and the purchased Plan.

13.3. UnivFilms may automatically adjust video quality to preserve uninterrupted streaming.

13.4. Maintenance, updates, third-party failures, security incidents or circumstances beyond UnivFilms’ reasonable control may cause temporary unavailability.

14.1. The user must use the Platform lawfully, personally and in accordance with these Terms.

14.2. Without express authorization from UnivFilms or the rights holder, it is prohibited to:

a) copy, record, reproduce, download, retransmit, publicly display, distribute, sell, sublicense or commercially exploit the content;

b) remove trademarks, copyright notices, technological protection measures or rights management systems;

c) reverse engineer, decompile, modify or attempt to access the Platform’s source code, except where permitted by law;

d) use bots, automation, data scraping or similar means to extract content or overload the systems;

e) share credentials in breach of the Plan, falsify location, or circumvent territorial restrictions or technical limits;

f) introduce viruses or malicious code, or take actions that compromise the security, integrity or availability of the Service;

g) use the Platform to infringe third-party rights or commit unlawful acts.

14.3. Any downloads that may be permitted will remain protected, are for temporary use and may be played only within the Platform itself and under the Plan’s conditions.

15.1. The Platform may offer content intended for different age groups.

15.2. Parents and legal guardians must supervise use by minors and observe the age ratings, content warnings and parental control features.

15.3. UnivFilms provides a parental control feature, available in the account area, that allows the Account Holder to set a PIN and restrict playback of content above the age rating they choose. The feature is optional, and it is the Account Holder’s responsibility to activate and configure it and to keep the PIN confidential. UnivFilms may also adopt age verification measures in accordance with the laws applicable to the protection of children and adolescents in digital environments.

15.4. Purchasing and managing the account must be done by a person with full legal capacity.

15.5. The processing of children’s and adolescents’ data will comply with applicable law and the Privacy Policy.

16.1. The Platform, its technology, visual identity, trademarks, texts, interfaces, features, databases and proprietary materials belong to UnivFilms or its licensors and are protected by intellectual property law.

16.2. Audiovisual content belongs to its respective rights holders and is made available to UnivFilms under the applicable agreements, licenses or authorizations.

16.3. Nothing in these Terms grants the user a license to use trademarks, logos or content beyond the personal access expressly permitted.

16.4. Suspected copyright infringements may be reported through the support channel, together with the identification of the rights holder, the work, the location of the alleged infringement and the evidence of ownership or representation.

17.1. The Platform may integrate third-party features, payment methods, app stores, operating systems or links.

17.2. Third-party services may have their own terms and policies. UnivFilms does not control external practices but remains responsible for the obligations assigned to it by law.

17.3. If subscriptions become available through app stores, such as the App Store or Google Play, purchases made through those channels will be charged by the respective store and will be subject to its billing, cancellation and refund rules. In those cases, cancelling the renewal and any refund requests must be done directly in the store where the subscription was purchased, without prejudice to the consumer’s legal rights and the support provided by UnivFilms.

18.1. UnivFilms may send essential communications related to the account, security, payments, contractual changes, Service availability and support.

18.2. Advertising communications, offers, surveys and news will be sent in accordance with the applicable legal basis and may be declined by the user through the unsubscribe mechanism, without affecting messages essential to the Service.

18.3. The user is responsible for keeping their contact details up to date.

19.1. The processing of personal data by UnivFilms is governed by the Privacy Policy, which will be made available separately, in clear and accessible language.

19.2. The Privacy Policy will set out, among other things, the categories of data processed, purposes, legal bases, data sharing, international transfers, retention periods, security measures, data subject rights and contact channels.

19.3. Acceptance of these Terms does not constitute general consent to all processing operations. Where consent is the appropriate legal basis, it will be requested in a specific, prominent and revocable manner.

19.4. Cookies and similar technologies will be handled in accordance with the Privacy Policy and, where applicable, the preferences recorded by the user.

19.5. Data subjects may exercise the rights provided by law through the channel indicated in the Privacy Policy.

20.1. UnivFilms may limit, suspend or close an account in the event of:

a) a material breach of these Terms;

b) fraud, attempted fraud or a security risk;

c) unlawful use or infringement of third-party rights;

d) unresolved non-payment;

e) a legal, judicial or administrative order;

f) discontinuation of the Service.

20.2. Whenever possible and consistent with security and the law, the user will be informed of the measure and may dispute it or resolve the situation.

20.3. If a paid Plan is discontinued at UnivFilms’ initiative, a solution compliant with the law will be ensured, which may include maintaining access for the paid period, migration, credit or a pro rata refund, as the case may be.

21.1. UnivFilms will use reasonable efforts to keep the Platform secure, functional and consistent with the advertised features.

21.2. UnivFilms is not liable for failures caused exclusively by incompatible equipment, the user’s internet connection, acts of third parties unrelated to the Service, misuse of the account or events beyond its reasonable control, without prejudice to liabilities that cannot be excluded by law.

21.3. Nothing in these Terms excludes or limits rights, guarantees or liabilities whose exclusion is prohibited by the Brazilian Consumer Protection Code or other applicable law.

21.4. If the Platform has a significant failure attributable to UnivFilms, the user may contact support to have it corrected and the appropriate measures applied.

22.1. UnivFilms may update these Terms to reflect legal, technical, operational or commercial changes.

22.2. Material changes will be communicated reasonably in advance by email, a notice on the Platform or other suitable means.

22.3. Changes that adversely affect rights relating to a period already paid will not be applied retroactively, unless required by law or validly consented to by the user.

22.4. If the Subscriber does not agree with a change applicable to the next cycle, they may cancel the renewal before the next charge.

23.1. These Terms are governed by the laws of the Federative Republic of Brazil, in particular the Consumer Protection Code, the Brazilian Internet Civil Framework (Marco Civil da Internet), the General Personal Data Protection Law (LGPD) and the rules applicable to e-commerce.

23.2. Before resorting to the courts, the parties may seek an amicable solution through UnivFilms’ support channels, without limiting the right of access to justice or imposing a mandatory waiting period.

23.3. In consumer relationships, the competent court will be the one guaranteed by applicable law, including the court of the consumer’s domicile where applicable.

23.4. In relationships that are not consumer relationships, the courts of the judicial district of Manaus, State of Amazonas, Brazil, are elected, unless another court has mandatory jurisdiction by law.

24.1. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in force to the fullest extent permitted.

24.2. Any tolerance of a breach of an obligation will not constitute a waiver of rights or an amendment to the agreement.

24.3. UnivFilms may assign rights and obligations related to the Service in a corporate transaction or business reorganization, in compliance with the law and preserving users’ rights.

24.4. Headings and subheadings are used for organization only and do not affect the interpretation of the clauses.

24.5. The Portuguese version will prevail in the event of any discrepancy with translations, without prejudice to mandatory rights applicable in the user’s country.
